Friends of Math and Science By-Laws (draft)

Article I: NAME

The name of this organization is the Friends of Math and Science at North Springs Charter High School, Sandy Springs, Georgia.

                                                       ARTICLE II: ARTICLES OF ORGANIZATION

The organization exists as an unincorporated organization of its members.  Its "articles of organization" comprise these bylaws and may be amended from time to time.  The bylaws shall be deemed to be the only "articles of organization".

Article III: OBJECT

The object of the organization is:  To support the North Springs Charter High School Math and Science Magnet program to the benefit of its students through parent and community support in the form of volunteerism, finances and collaboration.

Article IV: BASIC POLICIES

The following are basic policies of the organization:

1.       The organization shall be noncommercial, nonsectarian, nonpartisan and nonprofit.

2.       The organization shall not (directly or indirectly) participate or intervene in any political campaign on behalf of, or in opposition to, any candidate for public office; or devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise.

3.       This organization shall seek neither to direct the administrative activities of the school nor to control its policies.

4.       This organization shall work with the administration in a collaborative effort for the enhancement of the math and science magnet program.

Article V: MEMBERSHIP

1.       Any individual who subscribes to the objects and basic policies of this organization may become a member of this organization subject only to compliance with the provisions of the bylaws.  Membership in the organization shall be available without regard to race, color, creed, or national origin.

2.       Membership fee is a nominal fee to be determined annually by the executive board.

3.       Membership runs from August of the current year to August of the following year.

Article VI: MEMBERSHIP MEETINGS

Section 1.  Regular meetings of this organization shall be held three times yearly, fall, winter and spring, unless otherwise provided by the organization or by the executive board.  Three days notice shall be given of change of date.  The general meetings will coincide with major FOMAS events whenever possible.

Section 2.  Special meetings of the organization may be called by the executive board, seven days notice having been given.

Section 3.  The final meeting of the school year will be held to elect officers, to give final financial report, and to make recommendations for fund raising for the following year.

Section 4.  The executive board meetings shall be held in August, January, and April.  Regular meeting of the Executive Board shall be held 3 times yearly, prior to each general meeting.

Section 5.  A majority of the membership present or by proxy (electronic or paper) shall constitute a quorum for the transaction of business in any meeting of the organization.

Article VII: OFFICERS AND THEIR ELECTION

1.       The officers of the organization shall be a President, a Vice-President(s), a Secretary, a Treasurer, an Exofficer (School Administrator, Magnet Coordinator or Principal), a representative educator from each of the math and science departments, and will be known as the Executive Board.

2.       Vacancies will be advertised at the winter meeting, and elections will be held at the spring general meeting.

3.       Officers shall assume that their official duties begin at the close of school and shall serve for a term of one year and/or until their successors are elected.

4.       In case of a vacancy in a board position during the school year, the Executive Board will seek a replacement by appointment.

5.       The executive board will approve the operating policies and procedures annually at the August meeting.

6.       The executive board will approve or disapprove requests for funds extraneous to the approved budget.

7.       The executive board will approve all correspondence, news releases, etc, bearing the organization's name.(omit:  “with final approval given by the administrator”)

Article VIII: STANDING COMMITTEES

  Such standing committees shall be created by the Executive Board as deemed necessary to promote the objects and carry out the work of the organization.  These Chairpersons of the standing committees shall be known as Vice Presidents and are considered part of the Executive Board, with duties delineated in “FOMAS Policies and Procedures”.  They are selected by the officers of the organization and the Principal of the school or an appointed representative.  Their term shall be one year.

Article IX: AMENDMENTS

These bylaws may be amended at any regular meeting of the organization by a two-thirds vote of those present.
